PANAMA CORPORATIONS
- Although Panamanian
corporation are not subject to income tax from income earned outside
Panama, you may be responsible for that taxable income. Check it
out with your tax
advisor.

are permissible.

advised that you cannot use certain words in the name of the
corporation. Insurance, Bank, Trust and Foundation are not
permitted.

any of the following words or abbreviations:

(Inc.)
Societe Anonyme/Sociedad
Anónima (S.A.)
Consider these words as part of the name:
Latin American,
Group, Associates, Development, North American, European, Venture,
Advisors, Associates,
Technology, Partners, Service, Holding(s),
South American, Marketing, Online, Enterprises, Investment Group,
Industrial, Latin, Source, International, Software, Shipping, Worldwide,
Continental
Words
you cannot use for a Panamanian corporation:
Limited or LTD. This is
so the company is not confused as an LLC. In addition, you can't have a
name that portrays a licensed industry (Casino, Bank, Finance,
Assurance, Insurance, Trustee, Cooperative, Credit Union, as some
examples.
Panama Corporation Basics:
- Corporations
are formed with Directors, President, Secretary and Treasurer.
- Nominee
Directors and Nominee Officers are common.
- You attorney,
and his/her partners, will form the entity. At least two persons are
necessary to form the corporation.
- Once the
corporation is formed, your attorney(s) are on record as the person(s)
who formed the corporation. Anyone can ask who are the directors and
this is openly available. Nominee Directors can be changed at any
time.
- The corporation
must issue shares to these two people. The shares are then assigned
in bearer form, or to you directly.
- Your attorney
is required to have your real contact information and a copy of your
passport.
- The power of
attorney is provided by the two persons listed in the articles, so you
can open accounts and sign contracts.
